Meeting - Extraordinary General Meeting
On Sunday morning the executive committee called an extraordinary
general meeting when the single proposition was passed by 26 votes.
It was designed on the advice of the Charity Commission to prevent
the assets and liabilities of the executive committee being at risk
in the event of financial disaster.
The EGM agreed to form a new company limited by guarantee to be
called “National Kidney Federation” (the “Company”)
and to register the Company as a charity. The unincorporated NKF
will be dissolved and it assets transferred to the Company. The
executive committee are designated as trustees rather than the Council
for practical reasons, though the Council was assured that their
views would be sought.
Many KPAs were worried about their own liability, but they were
advised to consult a solicitor and to take out the NKF group liability.
